Terms of Service

1. Agreement to Terms

These Terms of Service (the "Terms") govern your access to and use of the Intercardinal websites and mobile applications, including both the Intercardinal community experience and the Intercardinal Exchange for businesses and organizations, and related services (together, the "Service"), operated by Intercardinal ("Intercardinal", "we", "us", or "our"). By creating an account, or by accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, our Community Guidelines, and our Disclaimer, each of which is incorporated by reference. If you do not agree, you may not use the Service.

2. About the Service

Intercardinal is a hyperlocal community platform. It lets residents discover local events, announcements, promotions, business listings, service requests, maps, and related information for their home community and the communities they visit, and it lets businesses and organizations (through the Intercardinal Exchange) create a profile, publish and promote content, and take part in community discussion. The Service also displays information gathered from third-party and public sources (for example, event listings, ferry and transit schedules, and business details). See Sections 6 and 7 regarding content.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your province, state, or country, you may use the Service only with the involvement and consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements and that you have the legal capacity to enter into these Terms.

4. Your Account

Some features require an account. You agree to provide accurate information, to keep it current, and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use. You may delete your account at any time from within the app (Settings) or by contacting us; deleting your account permanently removes your account and associated personal data, subject to the retention described in our Privacy Policy and any legal obligations. Deleting your personal account does not automatically delete organizations you manage on the Intercardinal Exchange; if you are the sole owner of an organization, you must transfer ownership or delete that organization (which requires typing the organization's name to confirm) before your account can be deleted.

5. Acceptable Use

You agree to use the Service lawfully and in accordance with our Community Guidelines. You agree not to, and not to attempt to:

  • post content that is false, misleading, fraudulent, defamatory, obscene, harassing, hateful, or that infringes the rights of others;
  • impersonate any person or organization, or misrepresent your affiliation;
  • post spam, chain messages, or unauthorized or deceptive advertising;
  • upload malware, or attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • scrape, harvest, or bulk-collect data or content from the Service except as expressly permitted;
  • interfere with, disrupt, or place undue load on the Service; or
  • use the Service for any unlawful or harmful purpose or in violation of these Terms.

6. User Content and Your Responsibility

"User Content" means any content you or other users submit to the Service, including events, announcements, promotions, listings, service requests, forum posts, comments, images, and profile details. You retain ownership of your User Content. You grant Intercardinal a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, adapt, publish, display, and distribute your User Content for the purposes of operating, promoting, and improving the Service, including displaying it within the Service and on associated channels such as email, SMS, push notifications, and Intercardinal social media accounts.

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that you own or have the necessary rights and permissions to your User Content and that it does not violate these Terms, our Community Guidelines, or any law or third-party rights. User Content does not represent the views of Intercardinal, and we do not endorse, verify, or guarantee the accuracy, quality, safety, or legality of any User Content. Any reliance you place on User Content is at your own risk.

We are not obligated to monitor User Content, but we may. We reserve the right, at our sole discretion and without notice, to review, screen, refuse, edit for compliance or clarity, remove, or restrict any User Content, and to suspend or terminate accounts, for any reason, including content we consider objectionable or in violation of these Terms. Objectionable content and abusive users may be reported from within the Service, and users may block other users and organizations. We aim to review reports of objectionable content and act on them promptly.

7. Third-Party and Aggregated Content

The Service collects, monitors, curates, and displays information from third parties and public sources that we do not control, including but not limited to event listings gathered from organizers' and venues' public websites, ferry and transit schedules, business and directory details, and content posted by businesses and other users.

While we make reasonable efforts to gather and present this information helpfully, we do not create, endorse, verify, or take responsibility for content that originates from outside sources, and we do not guarantee that it is accurate, complete, current, or available. Such information is provided "as is" and "as available" for general informational purposes only. You should independently verify any information, and confirm times, prices, availability, and other details directly with the relevant organizer, venue, business, or official source, before relying on it or taking action.

8. Businesses, Organizations, and the Exchange

If you create or manage an organization on the Service, you represent that you are authorized to act on its behalf, and you are responsible for the content, listings, offers, and communications you publish. Verification badges or statuses, where offered, indicate that certain checks were completed and are not a guarantee of any organization's identity, quality, legitimacy, or conduct. Intercardinal is not a party to, and is not responsible for, any dealings, transactions, agreements, promotions, or disputes between users and businesses.

9. Paid Features, Subscriptions, and Billing

Certain features (for example, memberships or subscriptions, featured or highlighted placements, and promotions) are paid. Prices are shown before purchase. Payments are processed by our third-party payment processor (Stripe) or through the applicable app store; we do not store full payment card details. By purchasing, you authorize the applicable charges, including any recurring charges for subscriptions, which renew automatically until cancelled. You may cancel a subscription as described in the Service or the relevant app store, and cancellation takes effect at the end of the current billing period. Except where required by law or expressly stated, fees are non-refundable. Purchases made through the Apple App Store or Google Play are also subject to that store's terms.

10. Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content we provide (excluding User Content and third-party content), is owned by Intercardinal or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any part of the Service without our prior written permission. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

11. Third-Party Services and Links

The Service integrates and links to third-party services and websites (for example, maps, payment processing, and external sites referenced in content). We do not control and are not responsible for their content, availability, practices, or terms. Your use of third-party services is at your own risk and may be governed by their own terms and privacy policies.

12. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, or remove content, at any time, with or without notice, including for violations of these Terms. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including Sections 6, 7, 10, 13, 14, 15, and 17) will survive.

13. Disclaimers

The Service and all content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Intercardinal does not warrant that the Service will be uninterrupted, secure, or error-free, or that any content (including User Content and third-party or aggregated content) is accurate, reliable, or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by law, Intercardinal and its directors, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, any User Content, any third-party or aggregated content, or any dealings with other users or businesses, whether based on warranty, contract, tort, or any other legal theory, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) CAD $100. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Intercardinal and its affiliates and their respective personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, your violation of these Terms or applicable law, or your violation of any third-party right.

16. Changes to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also revise these Terms from time to time. If we make material changes, we will provide notice (for example, by updating the "Last Updated" date and, where appropriate, via email or an in-app notice). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute not subject to mandatory protections available to you under your local law.

18. Communications

By creating an account, you agree that we may send you service-related communications (such as account, security, and transactional messages). With your consent where required, we may also send occasional updates about features or events. You can opt out of non-essential marketing at any time from your notification preferences or by contacting us; you cannot opt out of essential service messages while you maintain an account.
